HPP EMPLOYEES MULTIPURPOSE COOPERATIVE
CODE OF GOVERNANCE AND ETHICAL STANDARDS
Article I
PREAMBLE
This Code shall be known as the HPP Employees Multipurpose Cooperative Code of Governance and Ethical Standards. All Members of the Board, Officers, Employees, and Members of the cooperative shall abide and adhere to this Code.
Article II
ETHICAL STANDARDS FOR MEMBERS OF THE BOARD,
OFFICERS, AND HPPEMC EMPLOYEES
The members of the Board, officers, and employees of HPP Employees Multipurpose Cooperative shall be guided by the following code of conduct:
- The Board, officers, and employees of HPPEMC, in the performance of their duties and responsibilities, shall abide by the principles of integrity, dedication, and sincerity.
- They shall act as role models, acting with utmost professionalism, fairness, and courtesy in the performance of their duties.
- They must be members in good standing.
- They shall promote the interest of the cooperative.
- They shall not engage in any activity that is in conflict with the interest and objectives of the cooperative and that of Hewlett-Packard.
- They shall not get involved in any immoral, indecent, or disgraceful conduct.
- They shall protect the funds of members in accordance with prudent business practices.
- They shall ensure accuracy of financial records and be transparent to members with respect to the cooperative’s financial condition and overall operations.
- They shall protect sensitive information.
- They shall not use their position for any personal profit or advantage.
Article III
ETHICAL STANDARDS FOR MEMBERS
All members of HPP Employees Multipurpose Cooperative shall be guided by the following code of conduct:
- Always patronize the products and services of the cooperative.
- Actively participate in all affairs of the cooperative and help promote the welfare of its members.
- Always acting with integrity and never getting involved in any immoral, indecent, or disgraceful conduct.
- Observe the cooperative bylaws as well as the policies and decisions of the Board, General Assembly, and Cooperative Development Authority.
- Always be professional, fair, and courteous in dealing with fellow members as well as the general public.
Article IV
ADHERENCE TO EMPLOYER POLICIES
All members, directors, and officers of HPP Employees Multipurpose Cooperative shall ensure adherence to their respective employer policies such as, but not limited to, the following:
- Standards of Business Conduct
- Confidential Information Policy
- Conflict of Interest Policy
- External Communications and Endorsement Principles
Article V
GENERAL PROVISIONS
- In order to ensure commitment to this Code of Governance and Ethical Standards, the following shall be observed by members of the Board, officers, employees, and members:
- The Board, officers, employees, and members shall bind themselves that the intent and spirit of this Code of Governance and Ethical Standards are honored and upheld at all times.
- The members of the Board and officers shall set the example and be responsible for the observance of this Code of Governance and Ethical Standards.
- The members of the Board and officers shall sign a Non-Disclosure Agreement.
- The Board, officers, employees, and members shall take an oath that they shall commit themselves to this Code of Governance and Ethical Standards. The oath of commitment shall be done upon acceptance of membership, for members, and upon election, appointment, or assumption of duties, for members of the Board, officers, and employees of the cooperative.
- The promotion and enhancement of this Code of Governance and Ethical Standards is a management policy and strict adherence thereto shall be the responsibility of the Board, officers, employees, and members of the cooperative.
- This Code of Governance and Ethical Standards shall strictly be enforced and monitored by the Ethics Committee. Violations of this Code of Governance and Ethical Standards shall be subjected to penalties and administrative sanctions as may be determined by the Board as well as possible imprisonment and fines as stated in Article 140 of the Cooperative Code of the Philippines otherwise known as RA 9520.
- Any amendment of this Code of Governance and Ethical Standards may be proposed to the General Assembly for approval and shall take effect upon its adoption.
- The Code of Governance and Ethical Standards shall take effect upon approval of the Board of Directors and ratification of the General Assembly.

I certify that I have read and understood this Code of Governance and Ethical Standards of the HPP Employees Multipurpose Cooperative and agree to abide and act consistently with it at all times. I further certify that I have no knowledge or information of any prohibited acts under the Code relating to myself or others, and will report them as required if such acts come to my attention.
